Corbus Pharmaceuticals Announces $27.2 Million Registered Direct Offering

 

Norwood, MA (February 28, 2017)Corbus Pharmaceuticals Holdings, Inc. (NASDAQ: CRBP) (“Corbus” or the “Company”), a clinical stage drug development company targeting rare, chronic, serious inflammatory and fibrotic diseases, announced today that the Company has entered into a Securities Purchase Agreement for the sale of shares of its common stock in a registered direct offering to investors. The Company is selling 3,887,815 shares at a purchase price of $7.00 per share with gross proceeds of approximately $27.2 million and net proceeds of approximately $27.1 million.

 

The proceeds from the offering will be used to fund our continued clinical development of JBT-101 and for general corporate purposes, which may include increasing working capital and funding capital expenditures. The Company’s current cystic fibrosis clinical study is supported by an award from the Cystic Fibrosis Foundation. The dermatomyositis and systemic lupus erythematosus clinical studies are supported by grants from the National Institutes of Health.

 

The closing of the offering is expected to take place on or about February 28, 2017, subject to the satisfaction of customary closing conditions.

About JBT-101

 

JBT-101 is a novel synthetic oral endocannabinoid-mimetic drug that preferentially binds to the cannabinoid receptor type 2 (CB2) expressed on activated immune cells and fibroblasts. CB2 activation triggers endogenous pathways that resolve inflammation and halt fibrosis. Preclinical and Phase 1 studies have shown JBT-101 to have a favorable safety, tolerability and pharmacokinetic profile. It has also demonstrated promising potency in preclinical models of inflammation and fibrosis. JBT-101 is designed to trigger the production of “Specialized Pro-resolving Lipid Mediators” that activate an endogenous cascade responsible for the resolution of inflammation and fibrosis, while reducing production of multiple inflammatory mediators.
