Item 1.01 Entry into a Material Definitive Agreement.
On January 31, 2024, Corbus Pharmaceuticals Holdings, Inc. (the “Company”) entered into an underwriting agreement (the “Underwriting Agreement”) with Jefferies LLC (the “Representative”), as representative of the several underwriters named therein (the “Underwriters”), relating to an underwritten public offering (the “Offering”) of 4,325,000 shares (the “Base Shares”) of the Company’s common stock, par value $0.0001 (the “Common Stock”), at a price to the public of $19.00 per share. The Underwriters were also granted a 30-day option to purchase up to an additional 648,750 shares of Common Stock (the “Option Shares” and together with the Base Shares, the “Shares”) at the public offering price. On January 31, 2024, the Representative gave notice to the Company of the Underwriters’ election to exercise the option to purchase additional shares, in full.
The net proceeds to the Company from the Offering (giving effect to the exercise of Underwriters’ option) are expected to be approximately $88.5 million, after deducting underwriting discounts and commissions and other estimated offering expenses payable by the Company. The Offering is expected to close on or about February 2, 2024, subject to customary closing conditions.
The Offering is being made pursuant to the Company’s effective registration statement on Form S-3 (File No. 333-272314) previously filed with and declared effective by the Securities and Exchange Commission (the “SEC”), a prospectus supplement and accompanying prospectus filed with the SEC, and a related registration statement filed with the SEC pursuant to Rule 462(b) of the Securities Act of 1933, as amended (the “Securities Act”) on January 31, 2024 (File No. 333-276776), which was automatically effective upon filing.
The Underwriting Agreement contains customary representations, warranties and agreements by the Company, conditions to closing, indemnification obligations of the Company and the Underwriters, including for liabilities under the Securities Act, other obligations of the parties and termination provisions. The representations, warranties and covenants contained in the Underwriting Agreement were made only for purposes of such agreement and as of specific dates, were solely for the benefit of the parties to such agreement, and may be subject to limitations agreed upon by the contracting parties.
The foregoing description of the Underwriting Agreement is not complete and is qualified in its entirety by reference to the full text of the Underwriting Agreement, a copy of which is filed as Exhibit 1.1 to this Current Report and is incorporated herein by reference. A copy of the opinion of Lowenstein Sandler LLP relating to the legality of the issuance and sale of Shares in the Offering is attached as Exhibit 5.1 to this Current Report.

On January 30, 2024, the Company issued a press release regarding the launch of the Offering. On January 31, 2024, the Company issued a press release announcing that it had priced the Offering.
